Terms of Service

1. Agreement to Terms

By accessing and using the National Cold Vault telemetry system ("Service"), purchasing hardware, or registering for an account, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

National Cold Vault LLC ("Company," "we," "us," or "our") reserves the right to modify these Terms at any time. Continued use of the Service after modifications constitutes acceptance of the updated Terms.

2. Use of Service

The Service is designed to provide real-time temperature telemetry monitoring for medical cold chain storage facilities. You agree to use the Service solely for lawful purposes and in compliance with all applicable local, state, and federal regulations, including but not limited to FDA and CDC guidelines.

User Conduct

You agree not to:

  • Attempt to reverse engineer, decompile, or tamper with the hardware
  • Use the Service to transmit false or misleading telemetry data
  • Share your account credentials with unauthorized third parties
  • Interfere with or disrupt the integrity of the Service
  • Use automated systems to access the Service without written permission

3. Payment Terms

Hardware purchases require a one-time payment of $249.00 per unit. Subscription services for active telemetry monitoring are billed monthly at $34.99 per device.

Billing and Renewals

By subscribing to the Service, you authorize us to charge your payment method on a recurring basis. Subscriptions automatically renew unless canceled at least 24 hours before the next billing cycle. All sales are final; hardware purchases are non-refundable after 14 days.

4. Data Privacy and Security

We collect telemetry data (temperature, battery level, signal strength, timestamps) and account information (email, facility name, hardware serial numbers). All data is encrypted in transit using TLS 1.3 and stored in SOC 2 Type II compliant infrastructure.

We do not sell or share your data with third parties for marketing purposes. Data may be shared with regulatory authorities upon valid legal request. For complete details, please review our Privacy Policy.

5. LIMITATION OF LIABILITY AND INDEMNIFICATION

NATIONAL COLD VAULT LLC PROVIDES HARDWARE SOLELY AS A MONITORING AID. UNDER NO CIRCUMSTANCES SHALL NATIONAL COLD VAULT LLC BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR INDIRECT DAMAGES. THIS INCLUDES, BUT IS NOT LIMITED TO, THE LOSS, SPOILAGE, DESTRUCTION, OR EXPIRATION OF VACCINES, MEDICATIONS, BIOLOGICS, OR ANY LAB SAMPLES STORED IN ASSETS MONITORED BY THE DEVICE. THE TOTAL MAXIMUM LIABILITY OF NATIONAL COLD VAULT LLC FOR ANY CLAIM ARISING OUT OF THE FAILURE OF THE HARDWARE OR SOFTWARE SHALL BE STRICTLY LIMITED TO THE EXACT PURCHASE PRICE PAID BY THE CUSTOMER FOR THE SPECIFIC HARDWARE UNIT TRIGGERING THE CLAIM.

User Responsibility

The Customer acknowledges that the Service is a monitoring tool and does NOT replace manual temperature verification procedures required by CDC VFC guidelines. The Customer is solely responsible for maintaining backup monitoring systems, verifying refrigeration equipment functionality, and responding to temperature excursion alerts.

6. Warranty Disclaimer

THE SERVICE AND HARDWARE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE UNINTERRUPTED SERVICE, NETWORK CONNECTIVITY, OR ABSOLUTE ACCURACY OF TEMPERATURE READINGS. HARDWARE IS COVERED BY A LIMITED 1-YEAR MANUFACTURER DEFECT WARRANTY.

7. Termination

We reserve the right to suspend or terminate your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will immediately cease, and you must destroy all copies of software and documentation.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
