1. Acceptance of Terms

By accessing or using the National Cold Vault hardware and telemetry services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Service Description

National Cold Vault LLC ("Company," "we," or "us") provides 4G LTE-enabled temperature monitoring hardware and cloud-based telemetry services for the purpose of monitoring cold storage environments. The Service is intended to assist users in monitoring temperature conditions but is not a substitute for proper inventory management, insurance, or compliance protocols.

3. Strict Liability Limitation

IMPORTANT: National Cold Vault LLC is a telemetry hardware provider, not an insurer. The Company makes no guarantees regarding the prevention of spoilage events, power outages, network connectivity failures, or any other operational interruptions.

Maximum Liability: In the event of hardware failure, network outage, or any other Service-related malfunction, the Company's maximum liability is strictly limited to the replacement cost of the hardware device, not to exceed $199.00 USD (the original hardware purchase price).

Exclusions: The Company is NOT liable for:

  • Spoiled medical inventory, pharmaceuticals, vaccines, or biological materials
  • Lost profits, business interruption, or consequential damages
  • Indirect, incidental, special, or punitive damages of any kind
  • Third-party claims arising from Service failures
  • Force majeure events including but not limited to natural disasters, cellular network outages, or infrastructure failures beyond our control

4. User Responsibilities

You are solely responsible for:

  • Maintaining adequate insurance coverage for your inventory
  • Implementing backup monitoring systems and redundancy protocols
  • Responding promptly to alerts and notifications from the Service
  • Ensuring compliance with FDA regulations, state pharmacy boards, and other applicable authorities

5. Billing and Subscription

The Service requires a one-time hardware purchase ($199.00) and a monthly telemetry subscription ($34.99/month). Subscriptions automatically renew unless canceled. The 14-day trial period allows for hardware evaluation; cancellation during this period results in a full refund minus shipping costs.

6. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. The Company does not warrant that the Service will be uninterrupted, error-free, or secure.

7. Indemnification

You agree to indemnify, defend, and hold harmless National Cold Vault LLC, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

8. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

9. Modifications

The Company reserves the right to modify these Terms at any time. Continued use of the Service after modifications constitutes acceptance of the updated Terms.
